Can MSME Lawyers in Faridabad Court Handle Commercial Disputes?

One supplier in Faridabad provides industrial goods as per PO. Customer takes material and doesn’t object heavily on quality aspect. But payment is kept pending. Another business house is going through Service contract dispute. Third Firm has many unpaid Invoices and there is Arbitration clause present in their contract.

All of these situations can be called MSME dispute but technically may or may not fall in the purview of one particular forum.

There are various types of commercial disputes which an MSME lawyer in Faridabad Court can deal with. But you should know that your case is capable to be filed before them. This can be in form of a Commercial court dispute, Micro and Small Enterprises Facilitation Council (MSEFC), Arbitration or Mediation etc. There are many more competent forums where commercial disputes can be addressed.

There can be consequences if you file your matter in a forum which does not fall under that jurisdiction. So it’s important to understand the type of commercial dispute you are facing and what forum can better assist you with it.

Faridabad is a big commercial hub. It has industrial houses which trade in different products. All sorts of manufacturers, business houses and suppliers who have long term PO with different companies can run into commercial disputes.

When any amount stays due for a particular period of time and that company stops paying. You can hire our team of MSME Lawyers Faridabad to help you solve your commercial disputes in the most effective manner possible.

There are cases involving MSME which BK Singh Advocate handles daily. These cases can range from MSME delayed Payment. Contractual disputes, MSEFC proceedings and many others. It always depends upon the contract, type of business and what remedy you are looking for.

So can an MSME lawyer deal with Commercial disputes?

Yes, but keep in mind that every commercial dispute requires specific knowledge on where to file that dispute. Make sure you hire a lawyer who understands what forum would be best for your commercial case.

Why Are Commercial Disputes Important In Faridabad Court For MSME

Often businesses in faridabad trade on long term contracts. Supplier will provide materials to the customer on weekly basis and may give invoices for the same.

The buyer may tell the supplier to not worry about old payments and he will pay for them soon. This continues for few months and then one day you realize that there’s a huge amount of money pending from customer side.

So now this is not just a case of single invoice anymore. You might have to check if there are any PO, acknowledgments, deduction of money, any debit notes or quality issue. You may want to claim Interest for delay in payment as well as check jurisdiction and limitation period for the case.

For MSME companies delay in payment of business can cause hardship. There are salaries to pay, EMIs to be paid to banks and customers can sometimes be a lifeline to your business as well. So its better to take steps and approach this issue legally.

BK Singh Advocate will always make you understand between a commercial issue and your actual case cause of action. A legal mail and demand for money are not the same thing.

These kinds of commercial disputes may occur between 2 Faridabad companies or a customer may be from any other part of india. Similarly if you are a business house based in faridabad, you may have to pay a supplier who resides elsewhere.

As discussed above we can take up a dispute between any two business if one of the party resides in Faridabad. So if your supplier’s office registered address falls under Faridabad jurisdiction, we can help you recover your dues even if the customer resides somewhere else in India. Under section 18 provision of current MSMED act states that if the supplier’s office address falls within the area where MSEFC is having jurisdiction then the council will take cognizance of the dispute. So don’t think that only because your business resides in Faridabad you can take a case to Faridabad court.

Quick Facts

A Commercial Dispute includes all disputes arising out of the normal course of business of a merchant, trader, banker and financier and others who deal in commercial transactions including construction, distribution or sale, consultancy etc.

A dispute will qualify for commercial court jurisdiction if it satisfies above criteria and has a value of specified amount or more.

As of now the specified value for commercial courts is 3 lakhs but the government may notify more value which can also attract commercial court jurisdiction.

As discussed above MSMED act deals with micro and small enterprise businesses that are not able to collect payment. Not all businesses who call themselves MSME can benefit from the delayed payment provision.

Interest can be levied on amount not collected as per section 16 of MSMED act. Interest will be charged as per compound interest monthly rest. 3 times the bank rate notified by RBI.

You can’t take a Commercial Court dispute to MSEFC nor can you take your delayed MSME dispute to commercial court. Its 2 different remedies for different scenarios.

If the customer is not happy with MSEFC order they will have to put 75% deposit as per section 19 before they can challenge that order.

What is considered a commercial dispute when it comes to MSME?

When 2 companies are in dispute with each other you can call it a commercial dispute. There may be one MSME party in the equation but there may not be one. It can also involve money due to one company. Or services provided by one company to another company. Basically if 2 businesses have some dispute between them its considered commercial.

It does not matter if there is an MSME involved or not but what is important to understand is that you can’t call every commercial dispute as MSME case. Let’s say a factory in Faridabad has sold its machinery and has yet to receive payment for it. The dispute would fall under MSMED Act as mentioned earlier.

But if the dispute was not money owed to a MSME firm we might have to see what other options you have legally.

This is a common scenario which people miss while trying to solve their commercial disputes. At BK Singh Advocate we always try to look at your transaction before we decide on which forum you will take your dispute to. We don’t blindly say that because we have an MSME company on our hand we can solve your commercial problem.

As lawyers we try to understand what you want as well. Do you want back your money, do you want damages or do you need something to stop another party from causing you harm. There can be many scenarios which require a Commercial lawyer to assist you.

Will all MSME disputes be solved through MSEFC?

No. When people call us with their MSME disputes they sometimes confuse regular commercial issues with MSME delayed payment issue. As discussed earlier only certain commercial issues can be brought in front of the MSEFC council. If you want to get a reference of your payment issue then your case has to fall under Section 15-17 of MSMED act. There can be cases where you are an MSME company and you want to pursue a contract dispute or may be have a property dispute with another business. You can also have partner disputes and other commercial lawsuits that can’t be brought under MSEFC act.

Medium companies may think that they are also covered under the MSMED Act. Always make sure you understand your type of MSME and how that helps you with a commercial issue. BK Singh Advocate will advise you if you qualify for a reference or not.

You may want to recover money from your client and you think MSEFC is the right option to go with. This may lead to preliminary objections to your case which you should avoid.

Can Customer Defend themselves From a MSME Case

Of course. We have talked about the provisions MSMED Act gives you when it comes to commercial disputes. But let’s say you are that customer who has received a reference for money. You can defend yourself from it by showing your case to the council. There can be many reasons why you didn’t pay your supplier on time.

There can be instances where your supplier didn’t supply enough goods. They didn’t follow contract or had a poor service level with you. There can be many reasons why you didn’t pay someone. Make sure you have document that can support your argument. If your business takes material from another company and you don’t object at the time of receipt. Later on you create an objection to the quantity supplied or its quality this won’t sit well with the council.

Make sure you have representation that can help you understand your rights while being in a commercial dispute.

Order from any court that dealt with your dispute

Having these documents on hand can help you in case of any dispute. Just having invoice doesn’t guarantee your victory. As BK Singh Advocate always makes his clients aware that documents are of great importance when fighting commercial disputes.

How Soon Should You Talk To An MSME Lawyer

In most scenarios we have seen clients talk to us after the entire commercial relationship has turned bad. By then you can be in a difficult position if you don’t act timely. As soon as you feel that there is an amount pending that is too big and there is no promise from your customer to pay you. There is any new information revealed about your contract or the other party has sent you an MSEFC notice. You can approach a MSME Lawyer immediately.

One thing to be cautious about is jurisdiction. Always check if there is a clause in the invoice stating Jurisdiction as faridabad or if your master contract has any clause regarding Arbitration or Jurisdiction. Understand where your matter stands and take legal advice.

Always talk to a MSME lawyer before you accept a full and final settlement for any amount. If you believe that you are owed more than what you have signed off. Talk to your lawyer to see what options you have.

You may not need a lawyer to file a case. But at least talk to one to make sure you are doing things correctly.

Should Commercial Court And MSEFC Be Taken As Similar?

As discussed above these are 2 different avenues to take up commercial disputes. Commercial Court has it’s own framework that needs to be satisfied to take a case to them. Whereas MSEFC follows MSMED act. Both provide relief but aren’t the same.

As mentioned above customer has to deposit 75% of amount ordered by MSEFC before they can take it to court. If you have hired an MSME Lawyer make sure you are aware of all implications before any ruling is given. BK Singh Advocate makes you aware of what can happen if you don’t follow laws. But remember that all laws vary from case to case so you should always know what outcome you can get.

Common Mistakes People Make While Trying To Collect Their Money

As a company you should always have good communication with your customers and suppliers. Many people face trouble with collecting money because they don’t have the proper documentation to prove that they deserve that money. You may have sold something to a customer but didn’t have a PO generated at the time of supply. Or may not have an acknowledgment from the other party that material was delivered to them.

Inconsistency can hurt your case too. If you tell the court that you had no money available at the time of supply. But then you mention in your reply to them that the amount was never due to you. This can hurt your case.

Settlement talks with your customer can confuse a lot of people. How much you agreed to take back from them and what is left unpaid. Having a lawyer take care of these matters will reduce stress and keep you away from unnecessary complications.

Our MSME Lawyer can help you navigate these mistakes and ensure that you are taking the right steps to collect your money.
